1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ISOVIA FZCO ("ISOVIA," "we," "us," or "our"), a company incorporated and registered in the International Free Zone Authority (IFZA), Dubai, United Arab Emirates, with its registered office at IFZA Business Park, DDP, PO Box 342001, Dubai, UAE.

These Terms govern your access to and use of the AEGIS platform ("Platform"), accessible at aegi.technology and daraa.ai, including all features, tools, content, and services provided through the Platform.

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Platform Description

AEGIS is an AI governance and compliance management platform designed to help organizations assess, manage, and monitor their AI systems in alignment with applicable regulatory frameworks, including the EU AI Act and the UAE Personal Data Protection Law (UAE PDPL).

The Platform provides the following capabilities:

• AI system registration, risk classification, and compliance monitoring.
• Governance policy creation, management, and approval workflows.
• AI-powered gap analysis, compliance assessments, and readiness scoring.
• Board-level governance reporting and industry benchmarking.
• Regulatory update tracking and compliance calendar management.
• Document management for governance artifacts and evidence.
• An AI-powered governance agent for conversational compliance guidance.
• Compliance certification and audit trail capabilities.

3. Account Registration and Security

To access the Platform, you must create an account by providing accurate, current, and complete information, including your full name, email address, and a secure password, or by authenticating through a supported third-party authentication provider. You agree to update your account information promptly if it changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if we reasonably believe that your account has been compromised, that you have violated these Terms, or that your continued use poses a risk to the Platform or other users.

4. Subscription Plans and Pricing

4.1 Plans

The Platform is offered under the following subscription tiers:

4.2 Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All payments are processed securely through Stripe, Inc. By subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method.

All prices are stated in United Arab Emirates Dirhams (AED) and are exclusive of UAE Value Added Tax (VAT) at the current rate of 5%, as prescribed by Federal Decree-Law No. 8 of 2017 on Value Added Tax. VAT will be calculated and applied at checkout. ISOVIA FZCO is registered for VAT purposes in the United Arab Emirates. You are responsible for any applicable taxes associated with your subscription.

4.3 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' advance notice of any price increase via email to the address associated with your account.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through the Platform's billing settings. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds will be issued for partial billing periods, except where required by applicable law.

Upon cancellation, your access will revert to the Free tier. Your data will be retained for 90 days following the end of your paid subscription to allow for data export. After this period, your governance data, assessment results, and generated documents will be permanently deleted.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Platform in any manner that violates any applicable law, regulation, or legal obligation.
• Attempt to gain unauthorized access to the Platform, other user accounts, or any systems or networks connected to the Platform.
• Interfere with, disrupt, or place an undue burden on the Platform's infrastructure, servers, or networks.
• Use automated tools, bots, scrapers, or similar mechanisms to access or extract data from the Platform without our prior written consent.
• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
• Resell, sublicense, or redistribute access to the Platform without our prior written consent.
• Use the Platform to develop a competing product or service.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Platform.

6. Intellectual Property

6.1 Platform Ownership

The Platform, including its design, architecture, source code, algorithms, user interface, documentation, and all related intellectual property, is and shall remain the exclusive property of ISOVIA FZCO. Nothing in these Terms grants you any ownership rights in the Platform. Your right to use the Platform is limited to the license granted under these Terms.

6.2 Your Content

You retain all rights to the data, documents, and content that you upload, create, or input into the Platform ("Your Content"). By using the Platform, you grant ISOVIA a limited, non-exclusive, worldwide license to process, store, and display Your Content solely for the purpose of providing the Platform's services to you.

You represent and warrant that you have all necessary rights and permissions to upload and use Your Content on the Platform, and that Your Content does not infringe the intellectual property rights or other rights of any third party.

6.3 AI-Generated Content

Content generated by the Platform's AI features (including policy drafts, gap analyses, risk classifications, and governance recommendations) is generated based on your inputs and the Platform's analytical capabilities. You may use such AI-generated content for your internal business purposes. ISOVIA does not claim ownership of AI-generated content produced specifically for you. However, the underlying models, algorithms, and methodologies used to generate such content remain the intellectual property of ISOVIA and its licensors.

7. AI Services Disclaimer

The Platform utilizes artificial intelligence and large language models to provide governance analysis, compliance recommendations, risk classifications, and other advisory outputs. You acknowledge and agree that:

• AI-generated outputs are provided as informational and advisory tools only. They do not constitute legal, regulatory, or professional compliance advice.
• AI outputs may contain inaccuracies, omissions, or errors. You are solely responsible for reviewing, validating, and verifying all AI-generated content before relying on it or incorporating it into your governance processes.
• The Platform's risk classifications and compliance assessments are based on the information you provide and the Platform's analytical models. They may not reflect the complete regulatory landscape applicable to your specific circumstances.
• You should consult qualified legal and compliance professionals for definitive guidance on regulatory obligations and compliance requirements.
• ISOVIA does not guarantee the accuracy, completeness, or suitability of any AI-generated output for any particular purpose.

8. Data Protection and Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Platform, you consent to the data practices described therein.

Where you use the Platform to process personal data of third parties (for example, information about individuals involved in your AI systems or governance processes), you are the data controller for such data. You are responsible for ensuring that you have a lawful basis for processing such data and that you comply with all applicable data protection laws. ISOVIA acts as a data processor in relation to such data and will process it solely in accordance with your instructions and these Terms.

9. Service Availability and Support

We endeavor to maintain the Platform's availability and performance at all times. However, we do not guarantee uninterrupted or error-free access to the Platform. The Platform may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our reasonable control.

For Professional plan subscribers, we provide priority email support during business hours (Sunday through Thursday, 9:00 AM to 6:00 PM Gulf Standard Time). Enterprise plan subscribers receive dedicated support as specified in their individual service agreement.

We reserve the right to modify, suspend, or discontinue any feature or functionality of the Platform at any time, with or without notice. We will use reasonable efforts to provide advance notice of any material changes that may affect your use of the Platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ISOVIA FZCO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ISOVIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ISOVIA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO ISOVIA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR THREE HUNDRED AND SIXTY-SEVEN UNITED ARAB EMIRATES DIRHAMS (AED 367), WHICHEVER IS GREATER.

ISOVIA SHALL NOT BE LIABLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN BY YOU IN RELIANCE ON AI-GENERATED OUTPUTS, COMPLIANCE ASSESSMENTS, RISK CLASSIFICATIONS, OR OTHER ADVISORY CONTENT PROVIDED THROUGH THE PLATFORM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ISOVIA FZCO, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party rights; or (e) any content you upload, submit, or transmit through the Platform.

12. Termination

You may terminate your account at any time by contacting us at [email protected] or through the Platform's account settings.

We may suspend or terminate your access to the Platform immediately, without prior notice or liability, if: (a) you breach any provision of these Terms; (b) we are required to do so by law or regulation; (c) we reasonably believe that your continued use poses a security risk to the Platform or other users; or (d) your account has been inactive for more than 12 consecutive months.

Upon termination, your right to use the Platform will cease immediately. Sections 6 (Intellectual Property), 7 (AI Services Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution) shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days.

If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its arbitration rules in force at the time of the filing. The seat of arbitration shall be Dubai, United Arab Emirates. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ISOVIA with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.3 Waiver

The failure of ISOVIA to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ISOVIA.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ISOVIA may assign its rights and obligations under these Terms without restriction.

15.5 Force Majeure

ISOVIA shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemic, power failure, internet disruption, or third-party service outages.

15.6 Notices

All notices required or permitted under these Terms shall be in writing and shall be deemed delivered when sent to the email address associated with your account (for notices to you) or to [email protected] (for notices to ISOVIA).
